These terms and conditions (“Terms”) govern your use of the services provided by Voca Comms (“we”, “us”, or “our”). By engaging our services or using our website, you agree to these Terms.

1. Services

Voca Comms provides telecom, IT, and business communication services including but not limited to:

  • Hosted voice and cloud phone systems
  • Business broadband, fibre, and leased lines
  • IT support and managed services
  • Security systems, CCTV, and access control
  • Telecom and data cabling installations
  • Contract analysis via the Contract Scanner tool

The specific scope of each service will be detailed in a separate service agreement or statement of work provided to you.

2. Customer responsibilities

As a customer, you agree to:

  • Provide accurate and complete information required for us to deliver our services.
  • Grant us reasonable access to your premises, systems, and equipment as needed.
  • Ensure that any third-party services you use (e.g., existing broadband lines) are maintained until we have migrated your services.
  • Notify us promptly of any issues, faults, or changes to your requirements.
  • Not use our services for any unlawful or unauthorised purpose.

3. Payment terms

Fees for services will be outlined in your service agreement or quotation. Payment terms are as follows:

  • Invoices are payable within 30 days of the invoice date unless otherwise agreed.
  • One-off installation fees are due upon completion of the installation work.
  • Recurring service fees are billed monthly or annually in advance, as agreed.
  • Late payments may incur interest at 4% above the Bank of England base rate.

4. Contract term and termination

The contract term will be specified in your service agreement. Options include:

  • Fixed-term contracts (typically 12, 24, or 36 months).
  • Flexible rolling contracts with 30 days' notice.

Either party may terminate the agreement by providing written notice in accordance with the terms set out in your service agreement. Early termination of fixed-term contracts may incur charges for the remaining term.

5. Limitation of liability

We take our responsibilities seriously and deliver our services with reasonable skill and care. However:

  • We are not liable for failures or delays caused by third-party network providers, force majeure events, or circumstances beyond our reasonable control.
  • Our total liability for any claim arising from our services is limited to the fees paid by you for the specific service giving rise to the claim in the preceding 12 months.
  • We are not liable for indirect or consequential losses, including loss of profits, business interruption, or loss of data.
  • Nothing in these Terms limits our liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

6. Intellectual property

All intellectual property rights in our website, branding, tools (including the Contract Scanner), and materials remain our property. You may not reproduce, modify, or distribute our intellectual property without our written consent.

7. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of our business relationship. This obligation survives the termination of the agreement. We will not disclose your contract documents or business information to third parties without your consent, except as required by law.

8. Governing law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

9. Changes to these Terms

We reserve the right to update these Terms at any time. We will notify you of material changes via email or through our website. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
